Cellebrum Technologies (CT) which provides a wide range of telecommunications value added services platforms, products and solutions has filed its DRHP on 30th June, 2008 to enter the capital market with a public issue of 11,271,012 equity shares of Rs.10 each at a price to be determined at a later stage through the 100% book building process. The issue consists of fresh issue of 6,982,042 equity shares by the company and an offer for sale of 4,288,970 equity shares by Lehman Brother Opportunity Ltd. & Omnia Investments Pvt. Ltd  The net offer to the public, out of the public issue is 11,171,012 equity shares and 100,000 equity shares are reserved to the employees of the company.

 

The issue will constitute 22.60% of the fully diluted post issue paid up share capital of the company.

The company proposes to list its shares on BSE & NSE and the BRLM to the issue is Enam Securities.

 

The objects of the issues are to purchase equipments for the company's offices and  various customer sites and for general corporate purposes.

 

The company intends to use Rs.170,50 crores out of the proceeds from the issue to purchase equipments for the company's offices and for the several customer sites.

 

As a value added service provider, the company  not only conceptualizes products to meet the customer needs, it sources and aggregates content, provide the relevant platform for delivery of the products and services and integrate these services with the core network elements of its carrier customer. The company's telecommunications products,services and solutions are delivered to subscribers of major telecommunications carriers in India, including Airtel, Spice Communications, BSNL, IDEA, Reliance, Vodafone, MTNL, Tata Teleservices.

 

The company's product portfolio includes music, information and entertainment based products and services (such as mobile radio, ringtone downloads, videos, contests, astrology, news, sports updates and commodity rates), social networking products and services (such as voice chat), and call management solutions (such as voicemail, voice SMS, select caller list, Pay4Me and missed call alerts), all of which enable subscribers to personalize their mobile phones and enhance user experience.

 

The company's roaming solutions provide traffic flow information, enable network optimization and identify network bottlenecks for the company's carrier customers. Subscribers benefit from real time updates and better coverage while roaming outside their regular network. Through its in-house R&D team, CT has developed roaming solutions such as Welcome Roamer, Roam Tracker, Roam Globe, Roam Secure and Roam Privilege.

 

As of May 31, 2008, CT had more than 140,000 songs in more than 17 languages, as well as logos, wallpaper and 12,000 ringtones in its content database to cater to the needs of multicultural and multilingual subscribers in India.

 

For the year ended March 31, 2007, the company posted consolidated income of Rs.68.68 crores and net profit of Rs.4.11 crore as compared to an income of Rs.33.23 crore and net profit of Rs.2.20 crores for FY 06. For 9 months ended December 31, 2007, the company reported total income of Rs.77.72 crores and net profit of Rs.33.07 crores.
